Typically, we represent the target’s executives or management team during transactions involving the purchase and sale of their or their employer’s, business. While we sometimes provide shadow counsel to our management team clients during M & A negotiations, because of the complexity of the issues and personalities involved, and the significant sums of money and equity at stake, more often we negotiate directly on behalf of our clients.

Over the years, we have been involved in some complex M & A negotiations, negotiations that sometimes involved more negotiation between the target, the target’s management team, and the target’s board, than between the target and acquirer.

M & A transactions can be very intense and may take many weeks, or months to negotiate. Law Offices of Jotham S.
